Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you (“you” or “User”) and Flow State Automation LLC (“Flow State Automation,” “we,” “us,” or “our”) governing your access to and use of the website at fsautomation.ai and any related pages, content, forms, and offerings (together, the “Site”). By accessing or using the Site, submitting the contact form, or requesting a free demo, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site.
1. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Site. By using the Site you represent that you meet these requirements and, if you use the Site on behalf of an organization, that you are authorized to bind that organization to these Terms.
2. The Site and our services
The Site is an informational and lead-generation website describing the software design, development, automation, and related services we offer (collectively, “Services”). The Site lets you learn about us, view sample work, and contact us — including by requesting a free concept or demo.
The Site itself does not constitute an offer to perform paid Services. Any paid engagement is governed by a separate written agreement (such as a proposal, statement of work, or master services agreement) signed or expressly accepted by both parties. If those terms conflict with these Terms with respect to the paid engagement, the separate agreement controls for that engagement.
3. Free demo offer
We may offer to create a free concept, mockup, or demo (“Demo”) to illustrate what we could build. You understand and agree that:
- A Demo is provided at our sole discretion, for evaluation only, with no obligation on either party to enter into a paid engagement.
- Unless and until a separate written agreement says otherwise, we retain all right, title, and interest in and to any Demo, including all code, designs, and materials we create, and you receive no license to use a Demo in production or for commercial purposes.
- A Demo is provided “AS IS” with no warranties, may use placeholder or sample data, and is not intended for live use, security-sensitive use, or processing of real or personal data.
- We may decline, modify, delay, or discontinue the Demo offer at any time without liability.
4. Submissions and communications
When you submit the contact form or otherwise communicate with us, you agree to provide accurate, current, and complete information and not to impersonate any person or misrepresent your affiliation. You grant us a worldwide, royalty-free license to use the information and materials you submit for the purpose of responding to you, evaluating a possible engagement, preparing a Demo, and operating and improving the Site and Services. Do not submit confidential information you do not wish to share; submissions are handled as described in our Privacy Policy.
5. Acceptable use
You agree that you will not, and will not attempt to:
- use the Site for any unlawful, fraudulent, harmful, or abusive purpose, or in violation of these Terms or any applicable law;
- submit spam, malware, or content that is unlawful, infringing, defamatory, harassing, or that you do not have the right to submit;
- probe, scan, or test the vulnerability of, or breach or circumvent, any security or authentication measures of the Site;
- access the Site through automated means (bots, scrapers) except for well-behaved search-engine crawlers, or use the Site to send unsolicited communications;
- interfere with or disrupt the integrity or performance of the Site, including by overloading, flooding, or denial-of-service activity; or
- reverse engineer, copy, resell, or create derivative works from the Site or its underlying code except as expressly permitted by law.
We may suspend or block access (including by IP address) to protect the Site, enforce these Terms, or comply with law.
6. Intellectual property
The Site and all of its content, design, code, graphics, text, and the Flow State Automation name, logo, and brand (the “Company Materials”) are owned by Flow State Automation LLC or its licensors and are protected by intellectual-property laws. Except for the limited right to view the Site for its intended purpose, no rights are granted to you. You may not use the Company Materials without our prior written permission.
7. Third-party links and services
The Site may reference or link to third-party websites, products, or services that we do not control. We provide these for convenience only, do not endorse them, and are not responsible for their content, policies, or practices. Your use of any third party is at your own risk and subject to that third party’s terms.
8. Disclaimer of warranties
THE SITE, ANY DEMO, AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, FLOW STATE AUTOMATION LLC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY INFORMATION (INCLUDING ESTIMATES, EXAMPLES, OR RESULTS DESCRIBED) IS ACCURATE OR WILL PRODUCE ANY PARTICULAR OUTCOME. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL FLOW STATE AUTOMATION LLC OR ITS OWNERS, MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR ANY DEMO, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID TO US FOR ACCESS TO THE SITE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (WHICH, FOR USE OF THE SITE ITSELF, IS TYPICALLY ZERO) OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
10. Indemnification
You agree to defend, indemnify, and hold harmless Flow State Automation LLC and its owners, members, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Site, (b) your violation of these Terms or any law, (c) any content or information you submit, or (d) your violation of any rights of a third party.
11. Governing law
These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Alabama, without regard to its conflict-of-laws rules, and, where applicable, the Federal Arbitration Act. Subject to Section 12, the exclusive venue for any matter not subject to arbitration is the state and federal courts located in Alabama, and you consent to their jurisdiction.
12. Dispute resolution; binding arbitration; class-action waiver
Please read this section carefully — it affects your legal rights.
Informal resolution first. Before starting an arbitration, you agree to first contact us at admin@fsautomation.ai and give us 30 days to resolve the dispute informally.
Binding arbitration. Except for the exceptions below, any dispute, claim, or controversy arising out of or relating to the Site or these Terms will be resolved by final and binding arbitration administered by a recognized arbitration provider (such as the American Arbitration Association) under its applicable consumer/commercial rules, before a single arbitrator. The arbitration will be governed by the Federal Arbitration Act, seated in Alabama (or conducted remotely), and judgment on the award may be entered in any court of competent jurisdiction.
Class-action waiver.All claims must be brought in your individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims or preside over any form of representative or class proceeding.
Exceptions. Either party may (a) bring an individual claim in small-claims court, and (b) seek injunctive or equitable relief in court to protect its intellectual property or stop unauthorized access or misuse of the Site.
30-day opt-out. You may opt out of this arbitration and class-waiver agreement by emailing admin@fsautomation.ai within 30 days of first accepting these Terms, stating your name and intent to opt out. Opting out does not affect any other part of these Terms.
13. Changes to the Site and these Terms
We may modify, suspend, or discontinue any part of the Site at any time without notice or liability. We may also update these Terms from time to time; the “Last updated” date above will reflect the latest version. Changes are effective when posted, and your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
14. Termination
We may suspend or terminate your access to the Site at any time, for any reason, without notice. Sections that by their nature should survive termination (including Sections 4, 6, and 8–12) will survive.
15. General
These Terms, together with the Privacy Policy, are the entire agreement between you and Flow State Automation LLC regarding the Site and supersede any prior agreements on that subject. If any provision is held unenforceable, it will be limited or severed to the minimum extent necessary and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely. Neither party is liable for delays or failures caused by events beyond its reasonable control. Headings are for convenience only.
